1. General
1.1 These terms and conditions apply to all services provided by Sign Verse LTD ("Company"), including the design, manufacture, and installation of signage ("Services") for the client ("Client").
1.2 By engaging the Company for Services, the Client agrees to be bound by these terms and conditions.
1.3 The Company reserves the right to amend these terms and conditions at any time. The most recent version will be available on this page.
2. Quotations and Orders
2.1 All quotations provided by the Company are valid for 30 days from the date of issue unless otherwise stated.
2.2 A quotation does not constitute an offer to supply Services. The Company reserves the right to withdraw or amend a quotation before it has been accepted.
2.3 A contract for Services is formed only when the Company issues a written confirmation of the Client's order or when the Client makes a payment or instructs the Company to proceed with the work, whichever occurs first.
3. Payment Terms
3.1 A 50% deposit is required upon acceptance of the quotation and signing of the agreement, or when the Client instructs the Company to proceed with the Services.
3.2 The remaining 50% balance is due on the same day the fitting is completed, unless otherwise agreed in writing.
3.3 The Company reserves the right to withhold delivery or installation of any signage until full payment has been received.
3.4 In the event of late payment, the Company reserves the right to charge interest on the overdue amount at a rate of 4% above the Bank of England base rate until payment is made in full.
4. Project Timeline
4.1 The estimated project timeline for the completion of Services is 2-3 weeks, subject to agreement between the parties.
4.2 The Company will use its best efforts to meet the agreed timeline. However, the Company shall not be liable for any delays caused by factors beyond its control, including but not limited to supply chain disruptions, adverse weather conditions, or delays caused by third parties.
5. Warranty and Liability
5.1 The Company provides a warranty for a period of 2 years from the date of installation, covering defects in materials and workmanship.
5.2 The Company’s liability under this warranty is limited to repairing or replacing defective signage. This warranty does not cover defects caused by third parties, external factors, or misuse by the Client.
5.3 The Company shall not be responsible for any damage to the signage caused by improper handling, installation by a third party, or environmental factors such as weather.
5.4 The Company’s total liability under this agreement shall not exceed the total amount paid by the Client for the Services.
6. Cancellation and Refunds
6.1 If the Client wishes to cancel the order before the Company incurs any expenses for materials, designers, or other costs, the Client may receive a full refund minus a cancellation fee of £150.
6.2 If the Company has already paid for materials, the Client will not receive a refund for the deposit.
6.3 The Company reserves the right to retain any deposit paid if the Client cancels the order after materials have been purchased or work has commenced.
7. Installation and Site Conditions
7.1 The Client is responsible for ensuring that the site is ready and suitable for installation. This includes obtaining any necessary permissions, clearances, or permits.
7.2 The Company will not be liable for any delays or additional costs incurred due to unsuitable site conditions or the Client’s failure to obtain necessary permissions.
7.3 Any damage to the site caused during installation by the Company will be repaired at the Company’s expense, provided such damage was due to the Company’s negligence.
8. Intellectual Property
8.1 All designs, artwork, and other materials created by the Company in the course of providing Services remain the intellectual property of the Company until full payment has been received.
8.2 Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the designs and artwork for the intended purpose.
9. Governing Law
9.1 These terms and conditions shall be governed by and construed in accordance with the laws of the United Kingdom.
9.2 Any disputes arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Miscellaneous
10.1 If any provision of these terms and conditions is found to be unenforceable, the remainder shall remain in full force and effect.
10.2 No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
10.3 These terms and conditions constitute the entire agreement between the Company and the Client, superseding any prior agreements or understandings.
